These User Terms are important so please read them carefully. They apply to Your activities on the website at https://www.helloperks.co.uk/ ("Website"). You should only use the Website if You agree with these User Terms. When You click to accept the User Terms, You will be legally bound by these User Terms. We recommend that You print a copy for Your records.

We may change these terms from time to time so You should check back regularly to see if anything has changed but we will also notify You of any significant changes either on the Website or by email. Changes will become effective from the next time that You access Your Account.

Part 1 - General

  1. Who we are, what we do and contacting us

    2. Hello HR (trading as Hello Perks) is a website where You are able to redeem Your benefits ("Benefits") from third party providers ("Benefit Providers") that You have received from Your employer ("Employer") as part of Your employment package.

    3. If You have any questions about anything in these User Terms, about Hello HR (trading as 'Hello Perks's) services, or if You wish to make a complaint, then just contact us at info@helloperks.co.uk. If You have any technical issues with the Website, please contact us at info@helloperks.co.uk.

  2. User accounts

    1. You must register an account with Hello HR (trading as Hello Perks) to use the services available on the Website ("Account"). You must be at least 18 (eighteen) years old and residents of the United Kingdom to register an Account with us. The Website is intended for use only in the United Kingdom.

    2. You agree to keep Your information accurate, complete and current. You must ensure that Your username and password are kept secure and confidential. You are responsible for any activity on Your Account. It is Your sole responsibility to monitor and control access to and use of Your Account.

    3. You may make copies of Your information contained in Your Account in any format and in doing so, You may make copies of reasonable portions of the Website and the material and content of the Website and Your Account.

  3. Your rights and restrictions

    1. The Website is for Your own personal and non-commercial use only.

    2. When using the Website and Your Account, You agree not to:

      1. attempt to undermine the security or integrity of the Website, Hello HR' (trading as Hello Perks’) computing systems or networks or, where the Website is hosted by a third party, that third party's computing systems and networks. Hello HR (trading as Hello Perks) will report any security breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing Your identity to them;

      2. use, or misuse, the Website in any way which may impair the functionality of the Website, or other systems used to deliver the Website or impair the ability of any other user to use the Website;

      3. attempt to gain unauthorised access to any materials other than those to which You have been given express permission to access or to the computer system on which the Website is hosted;

      4. transmit, or input into the Website, any files or data that may damage any other person's computing devices or software, content that may be offensive, or material or data in violation of any law (including data or other material protected by copyright or trade secrets which You do not have the right to use); and

      5. create links to the Website unless Hello HR (trading as Hello Perks) gives You prior written consent;

      6. attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver the services or to operate the Website except as is strictly necessary to use either of them for normal operation and other than as permitted by law;

      7. impersonate any other person while using the Website;

      8. conduct Yourself in a vulgar, offensive, harassing or objectionable manner while using the Website; or

      9. use the Website for any unlawful purpose.

    3. You may have other rights granted by law, and these User Terms do not affect these except if the two are inconsistent. If this is the case then these User Terms will override any other rights which You may have, unless this is not permitted by law.

    1. Hello HR (trading as Hello Perks) takes its responsibility for care of Your data very seriously. Please see our privacy policy for information on how Hello HR (trading as Hello Perks) processes Your data.

    2. Hello HR (trading as Hello Perks) may use cookies on the Website.

    3. Hello HR (trading as Hello Perks) may use generic, anonymised, aggregated information about Your use of the Website and services to improve its services and the Website, research into new products and services and analyse to provide insights to the Employers, Benefit Providers and (Hello HR trading as 'Hello Perks') other suppliers to enable them to improve their services. Hello HR (trading as Hello Perks) will never use any information in a way that identifies You individually.

  5. Disclaimers

    1. Other than as set out in these User Terms and other than for warranties that are implied by law, the Website is provided on an "as is" and "as available" basis. Hello HR (trading as Hello Perks) makes no representations or warranties of any kind, express or implied, as to the operation of the Website or any information, content, materials or products included or referenced on the Website.

    2. Hello HR (trading as Hello Perks) does its best to ensure that the information accessed through the Website is accurate and up to date but cannot guarantee that this will always be the case.

    3. Hello HR (trading as Hello Perks) aims to make the Website available to You all the time but sometimes it may be unavailable due to maintenance or to factors outside of Hello HR (trading as Hello Perks)'s control, such as the internet.

    4. Hello HR (trading as Hello Perks) follows industry standards and processes to prevent against the introduction of viruses, malware and malicious attacks that may harm the Website or the device that You use to access the Website, but Hello HR (trading as Hello Perks) cannot guarantee that the application will be totally free from viruses and malware.

    5. Hello HR (trading as Hello Perks) does not guarantee that the Website will be compatible with all hardware and software that You may use.

    6. The Website may contain links to third party web sites or programs that are not controlled by Hello HR (trading as Hello Perks). Hello HR (trading as Hello Perks) is not responsible for the content, terms and conditions, offers or privacy policies of such sites and programs. Your dealings with third party sites are solely between You and the applicable third party and You should read their terms and conditions and policies before using them.

  6. Hello HR (trading as Hello Perks)’s rights and obligations

    1. Hello HR (trading as Hello Perks) may:

      1. change, modify, amend or remove some or all of the functionality or content on the Website at any time; and

      2. change, modify, amend or remove the Benefits at any time and without notice to You.

    2. You agree that Hello HR (trading as Hello Perks) is free to use any comments, information or ideas contained in any communication You may send to us without compensation, acknowledgement or payment to You for any purpose whatsoever, including, but not limited to, developing, manufacturing and marketing products and services and creating, modifying or improving the Website or other products or services.

    3. Hello HR (trading as Hello Perks) and/or Hello HR (trading as Hello Perks)'s licensors are the owners of the Website, which includes (but without limitation) any software, applications and domains made available through it.

    4. All intellectual property rights in the Website, and the content (except the personal information of You and other users contained in Your and their Accounts), video, audio, graphics, logos, icons and service names which appear on the Website belong, or are licensed, to us or the Benefit Providers. You do not have any rights to such intellectual property except as expressly set out in these User Terms.

  7. Liability

    1. These User Terms do not exclude or limit Hello HR (trading as 'Hello Perks)’s liability (if any) for:

      1. death or personal injury caused by Hello HR (trading as Hello Perks)'s negligence;

      2. fraud;

      3. fraudulent misrepresentation; or

      4. any matter which it would be illegal for us to exclude or attempt to exclude Hello HR (trading as Hello Perks)’s liability.

    2. Hello HR (trading as Hello Perks) is only liable to You for losses which You suffer as a direct result of Hello HR (trading as Hello Perks)'s breach of these User Terms and which are reasonably foreseeable. Hello HR (trading as Hello Perks) is not liable for any other losses or for business losses (including but not limited to loss of profits, contracts, goodwill or opportunity).

    3. Hello HR (trading as Hello Perks) is not responsible for Your Employer, the performance of the Benefit Providers and is not liable to You for their failures or for any effects or consequences of the services You receive from them.

Part 2 - Redeeming Benefits

  1. Benefit Redemption

    1. The Benefit(s) You redeem via the Website is redeemable for the goods and/or services of a specific Benefit Provider. You acknowledge and accept that the Benefit Provider, not Hello HR (trading as Hello Perks), is the seller of the goods and services and is solely responsible for providing any Benefit You wish to redeem. Hello HR (trading as Hello Perks) acts as the Benefit Provider's agent unless otherwise expressly stated on the Website.

    2. Your usage of Benefits redeemed by You via the Website shall be subject to the following terms:

      1. all Benefits provided by the Benefit Providers are offered to You, subject to the terms and conditions of the participating Benefit Provider;

      2. Hello HR (trading as Hello Perks) shall retain full and final control over which Benefit Providers shall provide Benefits to You to the extent permitted by law;

      3. these User Terms incorporate by reference the fine print and any additional terms and conditions set forth on the face of each Benefit. In the event of any conflict between the terms and conditions expressly set forth in these User Terms and any terms and conditions set forth on the Benefit itself, the express terms and conditions of these User Terms shall prevail;

      4. the holder and issuer of a Benefit is the Benefit Provider. As a holder and issuer of the Benefit, the Benefit Provider is fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect You, whether caused in whole or in part by the Benefit Provider, as well as for any unclaimed property liability arising from unredeemed Benefits;

      5. Benefits are redeemable in their entirety only and may not be redeemed incrementally;

      6. there is no issue of credit associated with any Benefit unless otherwise required by law;

      7. reproduction, sale, transfer or trade of a Benefit is prohibited unless done so in compliance with the law. Should You attempt any of the above activities, Hello HR (trading as Hello Perks) retains the right to terminate Your Account without payment of any compensation or provision of any outstanding Benefits;

      8. any attempted redemption not consistent with these User Terms will render the Benefit null and void. Void to the extent allowed by law;

      9. if You redeem the Benefit for less than its face value, You will not be entitled to a credit, cash or a new Benefit equal to the difference between the face value and the amount You redeemed, unless otherwise required by law;

      10. Benefit may be applied only to merchandise sold by Benefit Provider, and may not be applied to shipping or handling charges; and

      11. Benefits may not be combined with any other gift certificates, third party certificates, Benefits, or promotions, unless otherwise specified by Benefit Provider.

  2. Delivery of Benefits

    1. Hello HR (trading as Hello Perks) will deliver the Benefits redeemed in one of combination of the following methods:

      1. phone redemption where Hello HR (trading as Hello Perks) will present a specific code and telephone number to the customer to redeem the Benefit. Any such delivery mechanism will be specified during the redemption on Website;

      2. link-based redemption where Hello HR (trading as Hello Perks) will offer a protected link within the Website in order to help You redeem the Benefit directly from Your Account;

      3. email or message (via Slack or similar) the Benefit and a unique link to the customer email address provided at the time of the redemption of the Benefit on Website. If the delivery mechanism stated in parts ‘i’ and ‘ii’ is not specified, it should be understood that Benefits will be emailed, with a specific link to a static html page; or

      4. via a link on the Website to a form where You will enter relevant details for the Benefit Provider to contact You.

    2. Benefits may have unique identification numbers or codes as specified by the Benefit Provider. Authentication and uniqueness of the Benefits in such section will be based on the type of service being redeemed, and Benefit Provider's preference.

  3. Termination, Cancellation & Refunds

    1. Where Your Employer terminates its arrangement with Hello HR (trading as Hello Perks), Hello HR (trading as Hello Perks) will request the Benefit Provider to revoke the Benefits. Upon cancellation You shall be unable to redeem any further Benefits and Benefits previously redeemed shall become null and void. Your Account will terminate with immediate effect.

    2. You can terminate these User Terms at any time. If You do so, You will no longer be able to access Your Account or the information held in Your Account or be able to redeem Your Benefits.

    3. Hello HR (trading as Hello Perks) may suspend access to Your Account or terminate Your Account at any time and for any reason.

Part 3 - Miscellaneous

  1. Language: These User Terms and all communications between us will be in English.

  2. Notices: Any notice given under these User Terms by either party to the other must be in writing by email and will be deemed to have been given on transmission. Notices to Hello HR (trading as Hello Perks) must be sent to info@helloperks.co.uk. or to any other email address notified by email by Hello HR (trading as Hello Perks). Notices to You will be sent to the email address provided when registering Your Account.

  3. Your transfer of rights: You may not transfer any of Your rights under these User Terms to any other person.

  4. Hello HR (trading as Hello Perks)'s transfer of rights: Hello HR (trading as Hello Perks) may transfer any of Hello HR (trading as Hello Perks)'s rights under these User Terms to any person or ask any person to fulfil any aspect of it so long as the performance of these User Terms is not affected.

  5. No Rights of Third Parties: Only You and Hello HR (trading as Hello Perks) have any rights under these User Terms. No other person shall have any rights under these Terms.

  6. Governing Law and Jurisdiction: These User Terms will be governed by English law and any court proceedings related to these User Terms must be taken at a court within England and Wales.

Welcome to Hello HR (trading as Hello Perks), a website which provides businesses with external HR services as well as providing access to a selection of benefits for businesses' employees.

By clicking the "I Agree" button, You acknowledge that: (i) You have read and understood these Terms and acknowledge You will be legally bound by them; and (ii) where You are using the Services on behalf of Your company or organisation, You have the authority to act on behalf of such company or organisation. You warrant that You are not accepting these Terms as a consumer.

Hello HR (trading as Hello Perks) reserves the right to change these Terms at any time and You should print a copy of these Terms for Your records. You should check back regularly to see if they have changed as they will be effective from the next time that You access the Services and Your continued use of the Services shall indicate Your acceptance of any change. Hello HR (trading as Hello Perks) will make every effort to communicate these changes to You via notification via the Website or email.

  1. Definitions & Interpretation

    1. Definitions:

      1. Account: the account You set up when You register on the Website.

      2. Appropriate Regulator: has the meaning applied to it in the Rules and Regulations and in these Terms, it is extended to include the Financial Conduct Authority as applicable.

      3. Benefit Provider: a third party who provides the Benefits.

      4. Benefits: any of the benefits provided by a Benefit Provider which are visible to You on the Website and/or in the Employee Area.

      5. Confidential Information: includes all information exchanged between the parties to these Terms, whether in writing, electronically or orally, including information about business, customers, finances, revenue and technical information.

      6. Content: any text, images, graphics, sounds, videos, films, logos, information or other materials.

      7. Duration: 12 months.

      8. Employee Area: the part of the Website which an Employee may access to redeem his/her Benefits.

      9. Employees: any of Your employees, agents or subcontractors who will be entitled to Benefits.

      10. End User Terms: the terms and conditions which govern the Employees' access to the Employee Area.

      11. Fee Model: the model selected by You on the Website when You agree to these Terms which determines: (i) the Subscription Fee; and (ii) any other terms which appear on the Website in relation to the relevant model.

      12. FSMA: the Financial Services and Markets Act 2000 including any secondary legislation issued under the act, including statutory instruments and any replacement or amendment acts.

      13. Hello HR (trading as Hello Perks): Hello HR (trading as Hello Perks) Consulting Limited (company number: 09905298) whose registered office is 206 Royle Building, 31 Wenlock Road, London, N1 7SH.

      14. Inappropriate Content: any material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred or acts of terrorism, menacing, blasphemous or could otherwise reasonably be considered as inappropriate.

      15. IPR: any patent, trade mark, service mark, copyright, moral right, right in a design, know-how and any other intellectual or industrial property rights, anywhere in the world whether or not registered.

      16. Rules and Regulations: the rules and regulations published by the Appropriate Regulator from time to time. In these Terms, it is extended to include other documents produced by the Appropriate Regulator where it is clear from those documents that the Appropriate Regulator intended regulated firms to take notice and abide by comments in those documents.

      17. Services: You shall select by virtue of the Fee Model one of the following models:

        1. Benefits (as further described on the Website);

        2. Essential (as further described on the Website);

        3. Concierge (as further described on the Website);

and in addition to the services provided under one of the above models, the services shall comprise of:

        1. the operation of a concierge team who will action HR tasks for You and provide guidance on employment law and other HR issues and you can use Slack (if available), email or any other messaging service to communicate with our concierge team;

        2. the handling of any issues or complaints from the Employees relating to the Benefits or Benefit Providers;

        3. the regular reporting of usage statistics of the Benefits by the Employees; and

        4. the provision of approved copy for use in promotions to raise the Employee awareness and usage of the Benefits.

      1. Subscription Fee: the periodic fee payable by You to Hello HR (trading as Hello Perks) for the Services, which relates to the number of Employees and type of Services. The applicable fee shall be as set out in the Fee Model selected by You.

      2. Terms: these terms and conditions of use.

      3. Website: the internet site at the domain https://www.helloperks.co.uk/ and all its subdomains.

      4. Working Day: any day which is not a Saturday, a Sunday or a bank or public holiday in England.

      5. Working Hours: 10:00-18:00 on Working Days.

      6. You or Your: the company or trading entity on behalf of which an individual accepts these Terms.

    1. Clause headings shall not affect the interpretation of these Terms. A person includes an individual, corporate or unincorporated body (whether or not having separate legal personality) and that person's legal and personal representatives, successors or permitted assigns.

    2. A reference to: (a) a company shall include any company, corporation or other body corporate, wherever and however incorporated or established; and (b) a statute or statutory provision is a reference to it as it is in force as at the date of this agreement.

    3. Unless the context otherwise requires: (a) words in the singular shall include the plural and in the plural shall include the singular; (b) a reference to one gender shall include a reference to the other gender; and (c) the words "other", "including" and "in particular" shall not limit the generality of any preceding words or be construed as being limited to the same class as any preceding words where a wider construction is possible.

  1. Hello HR (trading as Hello Perks)'s Services

    1. Subject to payment of the Subscription Fees, Hello HR (trading as Hello Perks) shall provide the Services to You in accordance with these Terms.

    2. Hello HR (trading as Hello Perks) shall provide the Services with reasonable care and skill and in accordance with applicable law.

    3. Hello HR (trading as Hello Perks) grants You the right to access and use the Services via the Website. This right is non-exclusive, non-transferable, limited by and subject to these Terms.

    4. Hello HR (trading as Hello Perks) operates the Website as it sees fit in its sole discretion and shall have total control over its appearance, structure, Content, functionality, user interface and placing of Content within the Website.

    5. Hello HR (trading as Hello Perks) may change, modify, amend, add to or remove from the Website from time to time at its discretion without notice to You provided that the Website shall always be capable of providing the Services to You.

    6. If You have any technical problems with the Website You must make all reasonable efforts to investigate and diagnose problems before contacting Hello HR (trading as Hello Perks). If You still need technical help, please email info@helloperks.co.uk

    7. Hello HR (trading as Hello Perks) shall retain full and final control over which Benefit Providers shall provide the Benefits. Hello HR (trading as Hello Perks) will negotiate the Benefits with the Benefit Providers and Hello HR (trading as Hello Perks) shall act as agent for each Benefit Provider unless otherwise stated on the Website. The Benefits may be subject to amendment, removal, replacement or addition at any time in the Duration.

  2. Your Obligations

    1. Access Conditions:

      1. When You create Your Account on the Website, You will be required to create a username and password. You must ensure that Your username and password are kept secure and confidential. You must immediately notify Hello HR (trading as Hello Perks) of any unauthorised use of Your password or any other breach of security. You are responsible for any activity on Your account. It is Your sole responsibility to monitor and control access to and use of Your account and password. You must take all other actions that Hello HR (trading as Hello Perks) reasonably deems necessary to maintain or enhance the security of Hello HR (trading as Hello Perks)'s computing systems and networks and Your access to the Services.

      2. As a condition of these Terms, when accessing and using the Services, You must:

        1. not attempt to undermine the security or integrity of the Website, Hello HR (trading as Hello Perks)'s computing systems or networks or, where the Services are hosted by a third party, that third party's computing systems and networks;

        2. not use, or misuse, the Services in any way which may impair the functionality of the Services or Website, or other systems used to deliver the Services or impair the ability of any other user to use the Services or Website;

        3. not attempt to gain unauthorised access to any materials other than those to which You have been given express permission to access or to the computer system on which the Website are hosted;

        4. not transmit, or input into the Website, any files or data that may damage any other person's computing devices or software, any Inappropriate Content, or material or data in violation of any law (including data or other material protected by copyright or trade secrets which You do not have the right to use);

        5. create links to the Website unless Hello HR (trading as Hello Perks) gives You prior written consent;

        6. not attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver the Services or to operate the Website except as is strictly necessary to use either of them for normal operation and other than as permitted by law;

        9. use the Website for any unlawful purpose.

      3. You acknowledge that You are authorised to use the Services and the Website and to access, provide and disclose the information and data that You input into the Website.

    2. General Obligations - You shall:

      1. ensure that the Employees comply with the End User Terms;

      2. in a timely and efficient manner follow all reasonable instructions of Hello HR (trading as Hello Perks) from time to time and provide all necessary co-operation to Hello HR (trading as Hello Perks) in connection with the Services;

      3. in a timely and efficient manner provide Hello HR (trading as Hello Perks) with all reasonable and necessary access to such information as may be required by Hello HR (trading as Hello Perks) in order to provide the Services;

      4. in a timely and efficient manner provide any other information reasonably required by Hello HR (trading as Hello Perks) to provide the Services and that any information You provide is accurate, complete, truthful, compliant with law and does not infringe any IPR of any third party;

      5. ensure that You do not deconstruct and then reconstruct or alter in any way or add to an advertisement so that the resulting advertisement then breaches the Rules and Regulations or applicable laws or the Committee of Advertising Practice (CAP) code;

      6. obtain and shall maintain all necessary licences, consents, and permissions necessary for Hello HR (trading as Hello Perks), its contractors and agents to perform their obligations under these Terms, including in particular to ensure that You have the consent of any individual whose information is entered into or processed by the Services to use such information in connection with the Services and for Hello HR (trading as Hello Perks) its contractors and agents to process such information; and

      7. be solely responsible for procuring and maintaining its network connections or telecommunications links for accessing the Website and Services.

    3. Rules and Regulations:

      1. You acknowledge that some of the Services provided by Hello HR (trading as Hello Perks) under these Terms may be subject to the Rules and Regulations and that some communications may be financial promotions and subject to FSMA, financial promotion orders and the Rules and Regulations. You warrant that You will comply with the Rules and Regulations, FSMA and the financial promotion orders to the extent these are applicable to You in Your receipt of the Services.

    4. Indemnity:

      1. You shall indemnify Hello HR (trading as Hello Perks) against all claims, costs, expenses, damage and loss arising from Your breach of any of these Terms or any losses suffered by Hello HR (trading as Hello Perks) as a result of Your use of the Services, including any costs relating to the recovery of any fees that are due but have not been paid by You.

  3. Intellectual Property Rights

    1. Hello HR (trading as Hello Perks)'s IPR

      1. Title to, and all IPRs in the Services, the Website and any documentation relating to the Services remain the property of Hello HR (trading as Hello Perks) (or its licensors, including the Benefit Providers), which includes any Content produced by Hello HR (trading as Hello Perks) during the course of providing the Services to You and Hello HR (trading as Hello Perks)'s logo's trademarks and business names.

      2. Except as expressly in these Terms, no rights to, or in, any IPR in respect of the Services, the Website, Content or any documentation is granted to You.

    2. Your IPR

      1. You grant Hello HR (trading as Hello Perks) a royalty-free, limited, revocable licence to display and use to the extent necessary to provide the Services, Your logo, trademark, business name or any other IPR in any Content which You provide to Hello HR (trading as Hello Perks).

      2. You warrant that any Content provided by You to Hello HR (trading as Hello Perks) does not infringe the IPR or other rights of any third party.

  4. Fees & Payment Terms

    1. You shall pay the Subscription Fees for the first Duration at the time You create Your Account annually in advance.

    2. You shall pay the Subscription Fees into the bank account nominated by Hello HR (trading as Hello Perks) or via credit card.

    3. Subject to Clause 5.4, where the number of Employees reduces in a Duration, then You must notify Hello HR (trading as Hello Perks) in writing by the end of the then current Duration and Hello HR (trading as Hello Perks) shall adjust the Subscription Fees for the subsequent Duration to reflect the new number of Employees. For the avoidance of doubt, the revised Subscription Fees shall not apply retrospectively and shall only apply to the subsequent Duration following Your notification in accordance with this Clause 5.3.

    4. Where the number of Employees reduces to less than 90% of the number of Employees submitted to determine the Subscription Fees payable by You, then Hello HR (trading as Hello Perks) shall not reduce the Subscription Fees any further and You shall not be entitled to any refunds in respect of such reduction of Employees.

    5. Where the number of Employees increases in a Duration, then You shall notify Hello HR (trading as Hello Perks) promptly and You shall pay any additional Subscription Fees on the terms set out in Clause 5.2 for the current Duration prior to receiving the Services for the additional Employees.

    6. All payments under these Terms shall be in Pounds Sterling.

    7. All amounts set out in these Terms and on the Website are exclusive of VAT or any other applicable taxes.

    8. If either party fails to pay any amount due under these Terms, the other party is entitled to charge interest on the overdue amount, from the due date up to the date of actual payment (after as well as before judgement), accruing on a daily basis at the rate of 2% per annum above the base rate for the time being of Barclays Bank plc.

  5. Disclaimers

    1. The provision of, access to, and use of, the Website is on an "as is" basis.

Hello HR (trading as Hello Perks) will not be liable for any act or omission committed by any Benefit Provider in connection with the Benefits and/or Services (as applicable) which could give rise to any claim, liability or loss incurred or suffered by Hello HR (trading as Hello Perks) or any of the Employees. Employees' statutory rights in relation to the Benefit Providers shall be unaffected.

    9. All implied conditions or warranties are excluded in so far as is permitted by law, including (without limitation) warranties of satisfactory quality, fitness for purpose and title.

  6. Limitation of Liability

    1. This Clause 7 sets out the entire liability of Hello HR (trading as Hello Perks) under or in connection with these Terms including any liability for the acts or omissions of its employees, agents and sub-contractors and in respect of:

      1. any breach of these Terms;

      2. any use made by the You of the Services and Website; and

      3. any representation, statement or tortious act or omission (including negligence).

    2. Nothing in these Terms excludes either party's liability for:

      1. death or personal injury caused by their negligence; or

      2. fraud or fraudulent misrepresentation; or

      3. any liability which cannot be legally excluded or limited

Subject to Clauses 7.2, 7.4, 7.5 and 7.6, the total liability of Hello HR (trading as Hello Perks) in any 12 month period arising out of, or in connection with these Terms whether for negligence or breach of contract or howsoever arising shall in no event exceed the total Subscription Fees paid by You during the 12 month period immediately preceding the event giving rise to the claim.

    4. Hello HR (trading as Hello Perks) will not be responsible to You for any business losses that You may incur, including but not limited to, loss of data, loss of profits, loss of goodwill, pure economic loss, corruption of data or information or business interruption.

    5. Hello HR (trading as Hello Perks) shall not be liable for any losses or damage that anyone (including any Employees) may suffer as a result of relying on Content provided by You.

    6. Neither party will be liable for any indirect or consequential losses arising out of or in connection with these Terms.

  7. Termination

    1. These Terms will continue for the Duration unless and until terminated by either party in accordance with these Terms.

    2. The Duration shall automatically renew upon expiry unless either party gives the other party written notice prior to the end of the then current Duration to terminate these Terms and without payment of any compensation or damage due to such termination.

    3. Either party may terminate these Terms immediately on giving written notice where the other party:

      1. breaches any of these Terms (including by non-payment of any fees) and does not remedy the breach, if the breach is capable of being remedied, within seven (7) days after receiving notice of the breach;

      2. breaches any of these Terms and the breach is not capable of being remedied; or

      3. becomes insolvent or goes into liquidation or has a receiver or manager appointed of any of its assets or becomes insolvent, or makes any arrangement with creditors, or becomes subject to any similar insolvency event in any jurisdiction.

    4. Where Hello HR (trading as Hello Perks) has a right to terminate these Terms, Hello HR (trading as Hello Perks) may instead suspend Your use of the Services or Website for any definite or indefinite period of time.

  8. Consequences of Termination

    1. Termination of these Terms is without prejudice to any rights and obligations of the parties accrued up to and including the date of termination. On termination of these Terms:

      1. You will immediately cease to use the Services and the Website;

      2. Hello HR (trading as Hello Perks) will terminate your Account and will no longer have access to the Services; and

      3. Both parties will destroy any Confidential Information of the other and all copies of it.

    2. Hello HR (trading as Hello Perks) will not provide any refund for any Subscription Fees paid in advance on termination of these Terms.

    3. Clauses 3.4, 4, 5, 6, 7, 9, 11, 12 and 12.4 survive the expiry or termination of these Terms.

    1. Hello HR (trading as Hello Perks) does not monitor the content of other websites and any links provided on the Website are for Your convenience only. Hello HR (trading as Hello Perks) makes no representation or warranty as to the content of such third party websites.       1. in relation to the Employee Data, Hello HR (trading as Hello Perks) will be the data controller; and

      2. in relation to Your Data, Hello HR (trading as Hello Perks) will be a data processor.

    3. In relation to the Employee Data, Hello HR (trading as Hello Perks) shall process the Employee Data in accordance with its obligations under the DPA.

    4. In relation to Your Data, Hello HR (trading as Hello Perks) shall process Your Data as necessary in order to carry out its obligations under these Terms and will implement security measure to keep Your Data secure and prevent unauthorised access. Hello HR (trading as Hello Perks) shall not transfer Your Data outside of the European Economic Area.

  12. General

    1. Language: These Terms and all communications between us will be in English.

    2. Rights and Remedies: Except as expressly provided in these Terms, the rights and remedies provided under these Terms are in addition to, and not exclusive of, any rights or remedies provided by law.
